1. Terms and Conditions for Shed Solutions NZ Website

1. Purpose and Use Clarification
Our kitsets are designed specifically for agricultural or storage purposes. Any use beyond the intended purpose, such as converting to habitable or residential spaces, may require additional compliance with the New Zealand Building Code and further modifications at the customer’s expense.

2. Ground Conditions
Our plans and specifications are based on the assumption of "good ground," as defined by the New Zealand Building Code.
• Customer Responsibility: You must confirm ground conditions with a certified geotechnical professional before construction begins.
• Unsuitable Ground Conditions: Discovery of unsuitable ground conditions may necessitate re-engineering and additional costs, which will be invoiced separately. Shed Solutions NZ is not liable for delays or cost implications arising from unsuitable ground conditions.

3. Importance Level of Building
Our kitsets are designed to Importance Level 1 (IL1) under the New Zealand Building Code, suitable for low-risk uses such as storage.
• Higher Importance Levels: Conversion to higher-risk uses (e.g., residential or public occupancy) requires additional structural assessments, modifications, and compliance steps. These are not included in this contract. Customers must seek professional advice before repurposing the building.

4. Consents and Approvals
• Customer Responsibility: If Shed Solutions NZ is not engaged to prepare consents, it is your responsibility to ensure all necessary approvals, including resource and building consents, are obtained before construction begins.
• Liability: Shed Solutions NZ is not liable for any delays, penalties, or costs resulting from unapproved construction or failure to meet regulatory requirements.

5. Warranties
Materials provided under this contract are covered by manufacturer warranties, provided they are:
• Installed according to the supplier's specifications and used for the intended purpose.
• Not modified or used in conditions exceeding their design specifications, such as high wind or snow loads not accounted for in the original design.
Warranty Voids: Warranties will be void if materials are used improperly, installed incorrectly, or modified without prior written approval.

6. Intellectual Property
All designs, plans, drawings, and specifications provided by Shed Solutions NZ remain our intellectual property. They are intended solely for the specific project outlined in this contract.
• You may not share, copy, or use these materials for other projects without our prior written consent.

7. Payment Terms
• Full Payment: Full payment is required before shipment of the kitset.
• Late Payment: If payment is not received by the due date, interest will accrue at 0.5% per day on the overdue balance.
• Payment Disputes: Any disputes regarding payment must be submitted in writing within 7 days of the invoice date. Shed Solutions NZ reserves the right to suspend delivery or services until disputes are resolved and outstanding payments are settled.

8. Price Escalation
• Validity: Quoted prices are valid for 30 days from the date of signing.
• Material Price Increases: For deliveries beyond this period, customers will bear additional costs due to market fluctuations.
• Cost Increase Insurance: Customers may opt to pay 1% of the contract value per month to fix the price for a specific period.

9. Dispute Resolution and Governing Law
• Mediation: In the event of a dispute, both parties agree to first engage in mediation through a mutually agreed-upon mediator.
• Jurisdiction: If mediation fails, the dispute will be resolved under the jurisdiction of New Zealand courts.
• Governing Law: This contract is governed by the laws of New Zealand.

10. Consumer Guarantees Act Disclaimer
• Business Customers: This contract excludes the Consumer Guarantees Act 1993 where the kitset is supplied for business purposes.
• Non-Business Customers: Nothing in this contract limits your rights under applicable laws if you are purchasing as a consumer for personal use.

11. Limitation of Liability
Shed Solutions NZ is not liable for:
• Delays or costs arising from unforeseeable events or conditions outside our control.
• Losses due to misuse, improper installation, or failure to follow provided specifications and guidelines.
